AUTHOR RELEASE AGREEMENT
This is an Author Release Agreement
between Authors, Bloggers and Users of NoMerlot.com and NoMerlot.com (“NoMerlot.com”), having a principal
place of business at:
120 Bloomfield Street, Garden Suite, Hoboken,
New Jersey 07030.
Here after Authors, Bloggers and Users will be refered to as Authors.
Whereas NoMerlot.com allows the Author to write original wine reviews, articles and related content, and have them published on NoMerlot.com and related websites, print publications, etc.
In consideration of the foregoing, the mutual promises contained
herein and for other good and valuable consideration the parties
hereto agree as follows:
1. The Author hereby warrants and represents that any and all materials
prepared by the Author and submitted to and published by NoMerlot.com
(such material, the “Article”) is the Author’s
original work not published elsewhere in whole or in part, and the
Author is the sole owner and has the power, sole legal right and
authority, and does not need the permission of any person or entity,
to enter into this Agreement, to submit the Article to NoMerlot.com
for publication and to grant to NoMerlot.com all rights in the Article
as set forth below.
2. With respect to any Article that is a wine review, the Author
hereby warrants and represents that the Author has tasted the wine
and that his or her review is based upon his or her own independent
opinions and judgments about the wine, and that the Article contains
no matter libelous or otherwise unlawful or which invades the right
of privacy or which infringes any proprietary right.
3. Unless otherwise disclosed to NoMerlot.com in writing, the Author
hereby warrants and represents that he or she is not affiliated
with, employed or paid by or otherwise connected with any alcoholic
beverage wholesaler, distributor, retailer or trade group, or any
entity or organization that represents or is compensated by any
such wholesaler, distributor, retailer or trade group.
4. With respect to any Article submitted to and published by NoMerlot.com,
the Author hereby agrees that he or she shall not submit such Article
to any other entity for publication, whether a potential competitor
of NoMerlot.com or not; except that the Author may submit such Article
as a writing sample.
5. Upon the sooner of (i) the publication of an Article or (ii)
the payment by NoMerlot.com for an Article, the Author hereby grants
to NoMerlot.com, its successors and assigns all rights in that Article,
including reprinting and republishing rights, and any rights now
or hereafter protected by the Copyright Laws of the United States
and all foreign countries, as well as any renewal, extension, or
reversion of copyright of any such laws. If the Article is not accepted
for publication, this transfer does not take effect.
6. Author agrees to indemnify NoMerlot.com against any loss, liability
or expense whatsoever from any damage arising from or in connection
with the breach of any representation, warranty or provision of
this Agreement.
7. In consideration for the above, NoMerlot.com offers the author NO COMPENSATION.
By submitting a wine review or other material for publication on NoMerlot.com you, the Author, agree to all of the terms and conditions above.
